LETTER OF ENGAGEMENT
Between All About Numbers, Inc (AAN) And Your
Company!
Date
This letter is to set forth the terms and objectives of our proposed
engagement and the nature and limitations of the services we will
provide to you, our client. Any changes to services initiated by AAN
will be announced at least 30 days prior to the change. Changes made
at the request of the client will be effective upon a mutually agreed
upon date.
The following work will be provided by All About Numbers,
Inc.:
Work will be processed onsite at the client's primary place of business,
AAN will provide {the following services} to include the following:

The following work is not included in this scope of work:
{specific services NOT covered that need to be detailed} business
consulting beyond that indicated in the scope of work, or any other
services not specifically listed in our scope of work. Any of these
other services may be added to our engagement at a later date upon
mutual negotiation and acceptance.
Frequency: AAN will provide {how much time/when)
Rate: Our rate at the time of this engagement
letter is $XXX per Month/hour of service. Historical data will be
charged at $XXX per calendar month to reconcile accounts. Payment
is due no more than 10 days after receipt of invoice.
Termination: Either party may terminate this relationship
at any time by any form of written notification. Final paperwork,
data back up, or any other information All About Numbers, Inc. may
possess will be turned over to client at the time of final payment
of all outstanding invoices. ___________
Transfer of Information to a Third Party: Upon termination,
client must provide All About Numbers, Inc. with a written
authorization prior to the release of any information to any third
party. If any expense incurs in the process of transferring information
to a third party, the client will pay a retainer in advance before
any information can be released. _________
Limit of Liability: All About Numbers, Inc. in no
way will be liable for any loss of profits of client or any dispute
between you and any third party. All About Numbers, Inc. will not
be held liable for any damages caused by a process not covered by
this agreement. No action, regardless of the form, can be brought
forth by either party after one full year from date of termination.
All About Numbers, Inc. will assume no liability for client failure
to make payroll tax payments, provided that All About Numbers provided
client with the information to make such a payment by the due date.
The liability of All About Numbers, Inc. for any late payroll tax
deposits or filings that are made late through no fault of the client
and direct fault of All About Numbers, Inc. will be limited to the
penalties imposed by the governing agency and the interest on such
penalties ONLY. In no way, at any time, regardless of fault, will
All About Numbers, Inc. EVER assume ANY liability for actual tax dollars
or the interest on said dollars if so charged. _________
Applicable Law: This engagement letter shall be governed
as valid in all respects by the laws and decisions of the State of
California. _________
Guarantee: All About Numbers, Inc. commits to the
accuracy of all calculations and timely completion of all Financial
Statements. All About Numbers Inc also commits to the security and
confidentiality of all client information provided to us. All About
Numbers, Inc has a solid disaster recovery system in place and will
not lose your data, even in the event of a major local disaster. Disasters
on a large-scale, national level, caused by Acts of War or Acts of
God may not survive our multi-layered, multi-location disaster recovery
system and as such All About Numbers exempts from guarantee any loss
of data or information from such an event. All About Numbers will
not share your information with any third party accept as prescribed
by law without written authority from you, our client. _______________
